A Legal Disclaimer
1) Company details
Polandia Solutions sp. z o.o. , registered office: Ulica Sucha 3, 50-086 Wrocław (“Provider”, “we”). We provide: (i) Outsourcing & Managed Services (on-site value-added operations), (ii) Project Management, (iii) Legalization Services for businesses and private individuals.
2) Scope & definitions
These Terms govern access to our websites and the provision of services (including electronic services within the meaning of the Polish Act on Provision of Services by Electronic Means) to business clients (B2B) and consumers (B2C). “Client” = any entity using the site or ordering services.
3) Contact form & electronic services
Using the contact form/newsletter is an electronic service. We process submitted data to handle your inquiry (legal basis: legitimate interest / pre-contractual steps). See our Privacy Notice for controller details, purposes, retention and rights. You agree not to submit sensitive data.
4) Service ordering process
(a) Inquiry → (b) Scoping/quote/SOW (Statement of Work) → (c) Acceptance (email/e-signature) → (d) Kick-off.
Each engagement is governed by these Terms + the SOW (scope, deliverables, team model, KPIs/SLA, timelines, fees).
5) Fees, invoicing, taxes
Prices are quoted net of VAT unless stated otherwise. Invoices are payable within [●] days to the account indicated. We may require an advance/retainer for legalization filings or rapid team deployment. Late payment: statutory interest and the right to suspend work.
6) Start of performance & cancellations
We start after acceptance and (where applicable) receipt of advance, access, and necessary documents/POAs.
B2B: cancellations/changes per SOW; Client covers justified mobilization/third-party costs.
B2C (consumers): for distance/off-premises contracts you have a 14-day withdrawal right (see §7). If you request performance to begin before expiry, you’ll pay for the portion delivered; if fully performed with your prior express consent, the right to withdraw does not apply to the completed service.
7) Consumer right of withdrawal (B2C only)
You may withdraw within 14 days without giving a reason (exceptions apply by law, e.g., fully performed services upon your express request; official fees already paid on your behalf are not refundable). To exercise, send a clear statement to [email]; a model form is available in our Privacy/Customer Info page. We will confirm receipt.
8) Client obligations
Provide timely information, access, and approvals; ensure safe on-site conditions; appoint a single point of contact; pay fees on time; comply with applicable laws and internal policies relevant to on-site work.
9) Quality, KPIs & acceptance
KPIs/SLA and acceptance criteria are defined in the SOW. Non-conformities will be addressed through rework or service credits as specified.
10) Complaints procedure
Report defects or service issues to [support@…] within [●] days from discovery (not less than statutory periods for consumers). We will acknowledge within [3] business days and resolve or provide a roadmap within [14] days.
11) Liability
B2B: our aggregate liability for proven direct damages is limited to the net fees paid for the affected SOW in the last 12 months; we exclude lost profits, consequential, or indirect damages, unless mandatory law provides otherwise.
B2C: nothing limits statutory consumer rights or our liability where it cannot be limited under law.
Force majeure releases parties from liability for the duration of the impediment.
12) Subcontracting & staffing
We may use vetted subcontractors/temporary staff; we remain responsible for service quality and compliance.
13) Confidentiality & IP
Each party protects the other’s confidential information. Working materials, SOPs, and tools remain our IP unless the SOW transfers specific deliverables; Client receives a non-exclusive license to use deliverables for internal purposes. Client warrants it has rights to any materials/data provided to us.
14) Data protection
We act as controller of contact/contract data and typically as processor for any personal data processed within your project; roles are defined in the SOW/DPA. See Privacy Notice for details and data subject rights (GDPR).
15) Compliance (legalization services)
Client is responsible for the accuracy/completeness of documents. Official decisions rest with authorities; timelines depend on offices’ workloads. We represent you under Power of Attorney where applicable; official fees, sworn translations and notary charges are charged at cost plus handling (if agreed).
16) Changes to Terms
We may amend these Terms for valid reasons (legal changes, scope expansion, security). The current version is published on our site; ongoing B2B engagements continue under the version incorporated in their SOW unless otherwise agreed.
17) Governing law & disputes
Polish law governs.
B2B jurisdiction: courts competent for [Warsaw].
B2C: disputes may be brought before competent courts under statutory rules. Information on out-of-court consumer dispute resolution is available from Polish consumer ombudsmen/UOKiK. (Note: the EU ODR platform has been discontinued and no longer accepts submissions.)
Lexology
18) Language versions
These Terms are published in English and Polish. In case of discrepancies, the Polish version prevails for services performed in Poland.
